TDS is acting for Thailand-based Charoen Pokphand Foods Public Company Limited (“CPF”) on the intended purchase of 50.1 percent of the shares of Manitoba-based HyLife Group Holdings Ltd. (“HyLife”), for about CAD 498 million. HyLife produces approximately 2.3 million hogs annually and sells pork to more than 20 countries around the world.
HyLife employs over 2,500 people worldwide. TDS, led by Partner Mike Choiselat and assisted by Elmer Gomes and Leilani Kagan, acted for CPF as the Manitoba counsel on the deal, working with Stikeman Elliott LLP and Latham & Watkins LLP. TDS provided a wide-range of services including in respect of agricultural approvals, corporate and commercial law (mergers and acquisitions) and tax law. The acquisition remains subject to the satisfaction of various conditions precedent and is expected to close by the end of 2019.
